Terms and Conditions of Sale and Doing Business with Novelon

1. General

These Terms and Conditions (“Terms”) apply to all sales of goods and services by Novelon Pty Ltd (“Novelon”, “we”, “us”, or “our”) to the customer (“Client”, “you”, or “your”), including machining, manufacturing, design, and overflow services. By placing an order or engaging with us, you accept these Terms.

2. Quotations and Orders

  • All quotes are valid for 30 days from the issue date unless stated otherwise.

  • A quote does not constitute acceptance of an order. Orders are only binding once confirmed by us in writing.

  • Any variations to scope or materials after acceptance will be subject to a revised quotation.

3. Pricing and Payment

  • Prices are in Australian Dollars (AUD) and exclude GST unless otherwise stated.

  • Invoices are payable within 14 days of the invoice date unless otherwise agreed.

  • We reserve the right to charge interest on overdue accounts at a rate of 2% per month, compounding monthly.

  • All tooling, fixtures, prototypes, or NRE (non-recurring engineering) costs remain our property unless otherwise agreed in writing.

4. Delivery and Lead Times

  • Any delivery or lead times provided are estimates only and not guaranteed.

  • We are not liable for any loss, damage, or delay arising from circumstances beyond our control (e.g., material shortages, transport delays, power outages).

  • Risk in goods passes to you upon delivery, including to third parties nominated by you.

5. Title and Retention of Ownership

  • Title to goods remains with Novelon until full payment is received.

  • You grant us the right to reclaim goods if payment is not made within agreed terms, and you authorise us (or our agents) to enter your premises to recover them.

6. Intellectual Property

  • All intellectual property developed by Novelon, including tooling designs, programs, CAD drawings, and process documentation, remains our exclusive property unless agreed otherwise in writing.

  • If you provide designs or specifications, you warrant that they do not infringe any third-party rights.

7. Customer-Supplied Material

  • If you supply your own material or parts, you are responsible for:

    • Ensuring their suitability for machining.

    • Replacing any defective or unusable material.

  • We are not liable for scrap, damage, or failure arising from defects in customer-supplied material or inaccurate specifications.

8. Warranty and Liability

  • We warrant that all goods and services will be free from material defects in workmanship for a period of 30 days from delivery.

  • Our liability is limited to repair, replacement, or re-performance at our sole discretion.

  • We are not liable for indirect, special, or consequential loss including loss of profit, downtime, or damage caused by the client’s own design, misapplication, or third-party modification.

9. Termination and Cancellation

  • Orders may not be cancelled once production has commenced unless agreed in writing.

  • Cancelled orders may incur restocking, labour, or material charges at our discretion.

  • We may suspend or terminate supply if you breach these Terms or become insolvent.

10. Subcontracting and Collaboration

  • Novelon may subcontract work to trusted suppliers or collaborate with other CNC shops to fulfill overflow or specialised work without your prior approval, provided quality and confidentiality are maintained.

11. Dispute Resolution

  • We encourage you to contact us to resolve any concerns directly.

  • Any unresolved disputes shall be resolved through negotiation, and if necessary, mediation in Brisbane, QLD, before court action is considered.

12. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any legal proceedings will be conducted in the courts of Queensland.

13. Amendments

We may update these Terms from time to time. The latest version will always be available at www.novelon.com.au/terms. Continued business with us after changes constitutes acceptance of the revised Terms.
